YOU DO NOT ALWAYS HAVE TO SETTLE A TRUST THROUGH A PROVIDER

​

Advocates and licensed trust service providers can draft the deed, hold the assets and run the administration. That does not mean every Isle of Man trust has to be settled on them, or run by them.

​

A trust is not incorporated. There is no Companies Registry application and no public register of trusts. It is a private arrangement. It is created when a settlor transfers assets to trustees to hold for beneficiaries, or for a permitted purpose, on the terms of the trust. The trustees, not "the trust", own the assets. A trust cannot itself be a shareholder, a party to a contract, or a bank account holder.

The right route depends on who will act, and whether they are doing so by way of business. Acting as trustee, providing trust administration, acting as a trust corporation, acting as protector, or acting as enforcer of a purpose trust, is a Class 5 regulated activity under the Financial Services Act 2008 when it is carried on by way of business. A firm that offers those services needs a licence from the Isle of Man Financial Services Authority, unless a specific exemption applies. One exemption covers certain private trust companies, i.e, a company whose only role is a specific trust or trusts, which does not hold itself out to the public, and whose administration is carried out by a licence holder who has notified the Authority.

An individual who acts as trustee of a family trust in a private capacity, and not by way of business, is not in that position. The Island recognises unregulated trustees. They still owe the duties in the Trustee Acts, and where the Anti-Money Laundering and Countering the Financing of Terrorism (Unregulated Trustees) Code 2018 applies they must identify the people connected with the trust and keep records. Being unlicensed is not the same as being unregulated in the ordinary sense of the word.

Our work sits beside that distinction. We advise clients who want to own and manage the arrangement themselves, including where private trustees, a private trust company, or a change away from a managed trustee is a better fit. Where a licensed trustee, protector or administrator is still the right appointment, we help you make it deliberately rather than by default.

​

A foundation is a different vehicle. It is a legal person, it is registered, and the application to establish it must be made by a registered agent who holds a Class 4 licence. If what you need is an entity rather than a private trust, that is a separate decision.

  • Settling a new Isle of Man trust, and deciding between a discretionary family trust, a purpose trust, and a private trustee arrangement.

  • Leaving a professional trustee or corporate service provider and moving day to day control to private trustees, or to a private trust company whose administration sits with a licence holder.

  • Establishing a physical presence on the Island where that supports the people who manage the trust, or the companies underneath it.

​

  • Coordinating advocates, tax advisers, accountants and banks, and where needed a licensed trustee, without handing the whole arrangement to one provider.

  • Deciding whether a foundation would serve better than a trust, with the registered agent and any fiduciary appointment referred to a licensed firm.

HOW WE ASSIST

Aston & Williams provides strategic guidance and practical assistance. We do not act as trustee, protector or enforcer, and we do not provide trust administration. We identify the work, introduce the right counterparties, and keep the arrangement aligned with how you intend it to be owned and run.

That assistance commonly covers the choice of trust and governing provisions, the identity and residence of the trustees, a letter of wishes, the underlying companies that will hold assets, banking introductions, and the records an unregulated trustee is expected to keep. Legal drafting, tax advice and any regulated appointment stay with the firms instructed to provide them.

​

A DIRECT RELATIONSHIP, NOT A MANAGED ONE

​

Many Isle of Man trusts are settled with a licensed trustee, who then administers the trust in full. That model suits some families. It is a poor fit for others, particularly where the intention is that trusted individuals act as trustees, decisions are taken by the people concerned, and any Island presence is real rather than a provider's address.

​

Aston & Williams is instructed on that second path. We advise on the structure, help assemble the local arrangements around it, and stay available as the trust is established and, where relevant, as it is disentangled from an existing provider. Regulated fiduciary appointments remain with firms licensed to hold them.
